Myanmar Legal and Consulting Services

We have represented clients and worked with government officials on Myanmar-related business since 2010, participating in the rapid evolution of this dynamic business environment. Today, we can say with confidence that our clients benefit from our accumulation of knowledge and know-how about Myanmar’s business and legal environment, with particular emphasis in the areas of foreign investment law and regulations, corporate, mergers and acquisitions,  joint ventures, real estate, security, and collateral.

The firm has represented power, oil and gas companies, banks, hotels, pulp and paper companies, beverage companies, leading infrastructure and construction groups in a wide range of matters, including the development and implementation of the Dawei Sea Port, Industrial Estate and Road and Rail Link to Thailand, as well as bidding on IPP projects.

In our Myanmar practice, we strive to provide a solutions-based approach, not only through our in-depth understanding of the intricacies and interface among substantive laws and ‘local customary practices’, but also through our interaction with relevant government officials. The extent of our local network enables us to present innovative and creative solutions to local authorities. We have been recognized for ‘going beyond’ in achieving results for clients by implementing strategies that have not been previously approached, contemplated or even tested in Myanmar.

Starting in 2010, Weerawong C&P represented Italian - Thai Development Public Company Limited (ITD) on their entry into the Framework Agreement with the Myanmar Port Authority as part of the concession for the benchmark development and implementation of the Dawei Sea Port, Industrial Estate, and Road and Rail Link to Thailand. Also in connection with the Dawei project, our lawyers advised The Siam Commercial Bank Public Company Limited (SCB) on the structuring of USD 8.6 billion in financing to Italian-Thai Development Public Company Limited for the development of Myanmar’s Dawei Special Economic Zone.
Our involvement with the Dawei project continues with representation of Dawei Telecom Company Limited on the concession agreement to be entered into with Myanmar Posts and Telecommunications for telecommunications services in the Dawei Special Economic Zone.
We also represented Toyo-Thai Public Corporation in obtaining project financing of USD 100 million from the Export-Import Bank of Thailand for the development of a 120 MW combined cycle gas-turbine power plan project in Yangon, the first private sector project financing in Myanmar for EXIM Bank. The transaction is the first-of-its-kind in Thailand and Myanmar.
In the past few years Myanmar has experienced some significant changes and considerable strides in opening its doors to foreign investments. Alongside a constantly changing business environment, the legislative framework and practices governing investments in Myanmar are undergoing considerable evolution. The government is therefore actively procuring technical assistance, practical know-how, and training in a number of key areas in order to build capacity in its bureaucracy, system of government, and the courts. This new openness to knowledge-sharing particularly impacts forex controls, the finance and banking sectors, and the trading practices that are crucial for any developing economy.
