Nontachai Hemaratpitak is an associate in the mergers and acquisitions practice group. He assists clients in domestic and cross-border
transactions. Before he joined the firm, Nontachai assisted client with capital increases for real
estate investment trusts and other work related to property funds. He also worked with the Thailand
Development Research Institute, advising on personal data protection guidelines for the health care
sector.
Recent
Experience Representation of AIGF Advisors Pte. Ltd.
(Singapore) (AIGF) in the divestment of its KFC business in Thailand, whereby Bamboo
(Thailand) Holding Pte. Ltd., a special-purpose vehicle majority-owned by AIGF, has successfully
entered into a share purchase agreement with Devyani International DMCC (DID), a subsidiary of
Devyani International Limited (DIL), for the latter to acquire a controlling stake in Restaurants
Development Co. Ltd. (RD). RD, a franchisee of KFC Thailand, operates more than 270 KFC restaurants
across the country and employs more than 4,500 staff in Thailand. The deal was signed on 18 December
2023 and is expected to close before 31 March 2024, subject to customary regulatory and other
approvals. Representation of KCG Public Company Limited in the company’s initial public offering of up to
170,000,000 newly issued ordinary shares and the subsequent listing on the Stock Exchange of
Thailand. KCG Corporation Public Company Limited is a leading manufacturer and distributor of dairy
products and biscuits in Thailand. KCG Corporation Public Company Limited submitted its application
for offering of new shares to the Securities and Exchange Commission on 21 December 2022.
