Masitorn Boonserm is an associate in the capital market practice group at Weerawong C&P. She advises domestic and international clients in a wide range of corporate and commercial transactions, including capital markets matters, corporate restructuring, and general commercial advisory work.
 
Selected Experience

Advised Suzhou TFC Optical Communication Co., Ltd., a world-leading one-stop optical interconnect solution provider in its listing of its shares on the Hong Kong Stock Exchange (on-going).

Advised Shenzhen Kinwong Electronic Co., Ltd., a leading PCB manufacturer, as Thai Local Counsel in its proposed initial public offering and listing of its shares on the Hong Kong Stock Exchange (on-going).

Represented IFBH Pte. Ltd., a ready-to-consume beverage and food company rooted in Thailand under the brand “if” and “Innococo”, as Thai Local Counsel in connection with its approximately HKD 1.16 billion (approximately THB 4.8 billion) IPO and listing on the Hong Kong Stock Exchange (2025).

Represented Xiamen Jihong Technology Co., Ltd., a leading China’s e-commerce retailer in the initial public offering (IPO) and listing on the Hong Kong Stock Exchange. Weerawong C&P was also responsible for addressing Thai legal issues related to the Issuer’s business in Thailand; not just capital market regulations but also other area of practices such as personal data law and consumer protection law. Represented Swift Energy Technology Berhad, a leading company in the industrial automation and power systems industry in Malaysia, as Thai Local Counsel in connection with its approximately RM 70.06 million (approximately THB 560.5 billion) IPO and listing on the ACE Market of Bursa Malaysia. (2025)

Represented Energy Absolute Public Company Limited on its bond debt restructuring of 12 outstanding debentures, with a principal amount totalling THB 21,666 million. The bond debt restructuring mainly involved the extension of the Maturity Date of the Debentures; the granting of a call option to the Issuer to redeem the Debentures prior to maturity; adjustments to the Interest Rate of the Debentures; the partial repayment of the principal amount of the Debentures; and the entry into any agreements including amendments to the Terms and Conditions to reflect such amendments. The restructuring also included obtaining waivers to allow the Issuer to negotiate and amend its indebtedness with creditors without triggering an Event of Default, together with the undertaking of a Partial Business Transfer (PBT).

Advised a foreign derivatives exchange on legal aspects regarding permission of marketing activities, registrations and regulatory approvals and regulatory requirements in Thailand.
