  • Weerawong C&P advised Beijing Haoyang on USD 2.2 billion hyperscale data center in Thailand
  • Weerawong C&P represented Beijing Haoyang Cloud Data Technology Co., Ltd., a leading Chinese hyperscale data center provider, on its strategic investment in Haoyang Data Center 1 (Thailand) Limited. This landmark project involves the development of a 300-megawatt hyperscale facility in Rayong Province, backed by a total investment exceeding USD 2.2 billion (THB 72.67 billion). Weerawong C&P acted as lead counsel on all Thai legal matters, including corporate structuring, securing BOI promotion, and managing regulatory approvals.

  • Weerawong C&P represented Techlead NPN Public Company Limited on its strategic acquisition of 100% of the shares in Gupay Co., Ltd., a licensed electronic payment service provider regulated by the Bank of Thailand, from Mr. Chaval Jiaravanon. The transaction involved complex regulatory and licensing considerations, including statutory notifications and full compliance with Bank of Thailand requirements. We provided comprehensive legal support across all aspects of the transaction, such as conducting legal due diligence on Gupay Co., Ltd., drafting and negotiating transaction documents, managing regulatory filings, and ensuring seamless coordination to maintain uninterrupted business operations. This acquisition represents a key milestone in Techlead NPN Public Company Limited’s strategic expansion into Thailand’s rapidly growing fintech and digital payments sector, strengthening its position for sustainable growth in the regulated financial services market.

  • Weerawong C&P advises Dymon Asia Private Equity, a private equity firm focused on growth capital investments in Southeast Asia, in the formation of a joint venture, TUSK Asia Co., Ltd., with the Arthit Ourairat Institution. This joint venture involved investing in Satit Bilingual School of Rangsit University and British International School Phuket, Satit International Bilingual School of Rangsit University Chiangmai and SBS Bangkok— prominent and long-established schools in Thailand

  • Weerawong C&P represented of Thai AirAsia X through its successful rehabilitation process
  • Weerawong C&P represented of Thai AirAsia X, the low fare long haul carrier, through its successful rehabilitation process. In August 2023, the Central Bankruptcy Court issued an order for approval of the USD 1.7 billion (approximately THB 62 billion) business rehabilitation plan to revamp the company’s administration process and restructure its debts, delivering greater efficiencies and a solid platform for future growth.

  • Weerawong C&P represented the Bangkok Mass Transit System Public Company Limited in two cases in connection with agreements with the Krungthep Thanakom Company regarding the operation and maintenance of the Green Line skytrain extensions
  • Weerawong C&P represented the Bangkok Mass Transit System Public Company Limited (BTSC) in two cases in connection with agreements with the Krungthep Thanakom Company regarding the operation and maintenance of the Green Line skytrain extensions, which is a project owned by the Bangkok Metropolitan Administration (BMA). BTSC filed two cases in 2021 and 2022 consecutively before the Thai Administrative Court concerning the repeated failures of the BMA and Krungthep Thanakom to pay the debt owed to BTSC for its operation and maintenance services for the Green Line skytrain extensions, with claims of almost THB 20 billion owed to BTSC. 

     
    The key issues involved proving to the Administrative Court that it had jurisdiction over the cases as the operation and maintenance service contracts for the Green Line extensions are between BTSC and Krungthep Thanakom company (two private companies) and extending the legal liabilities under the disputes to the BMA, including allowing BTSC to sue BMA. In 2022, the Central Administrative Court rendered its judgment on the first case ordering both Krungthep Thanakom and the BMA to pay to BTSC THB 12 billion.

  • Weerawong C&P represented Universal Music Group (UMG) in its landmark acquisition of the remaining shares in RS UMG Company Limited, granting UMG 100% ownership. This strategic move gives UMG full control of RS’s iconic back catalog, which includes over 10,000 songs and is valued at more than THB 2.2 billion.   • Weerawong C&P represented Department of Highways (DOH) in the development of the Bang Khun Thian–Ban Phaeo Motorway Project (M82), valued at approximately THB 31,457 million. The M82, a strategic elevated tollway above Rama 2 Road, serves as a critical transportation artery that connects Bangkok with the southern regions of Thailand, offering enhanced convenience, speed, and safety for travelers. Weerawong C&P provided assistance in drafting and revising the Public-Private Partnership (PPP) Agreement and other key bidding documents, organizing market soundings, offering legal counsel, negotiating with private entities on behalf of the DOH, and addressing procedural and substantive legal issues.

This transaction, part of a global deal, expanded RealTruck’s presence in the OEM-focused European truck bed accessories market, enhancing its global footprint and supply base.

  • Weerawong C&P is representing AIGF Advisors Pte. Ltd. (Singapore) in the divestment of its KFC business in Thailand
  • Weerawong C&P is representing AIGF Advisors Pte. Ltd. (Singapore) (AIGF) in the divestment of its KFC business in Thailand, whereby Bamboo (Thailand) Holding Pte. Ltd., a special-purpose vehicle majority-owned by AIGF, has successfully entered into a share purchase agreement with Devyani International DMCC (DID), a subsidiary of Devyani International Limited (DIL), for the latter to acquire a controlling stake in Restaurants Development Co. Ltd. (RD). RD, a franchisee of KFC Thailand, operates more than 270 KFC restaurants across the country and employs more than 4,500 staff in Thailand. The deal was signed on 18 December 2023 and is anticipated to be completed within 2024.

  • Weerawong, Chinnavat & Partners Ltd. is representing SCG Decor Public Company Limited (SCGD) in an initial public offering (IPO) and the listing of shares on the Stock Exchange of Thailand (SET) with the market capitalization of THB 18.9 billion, including a tender offer/share swap for delisting of SCG Ceramics Public Company Limited (COTTO) from the SET. This IPO is considered the largest IPO of the year 2023 and a part of the business restructuring plan of SCC Group, where SCGD is a flagship company of SCC Group undertaking the manufacturing business of floor tiles, wall tiles, and sanitary ware in both Thailand and abroad. 
  • Weerawong C&P represented Fiskars Group in the acquisition of Georg Jensen
  • Weerawong, Chinnavat & Partners Ltd. represented Fiskars Group in the acquisition of the renowned Danish luxury lifestyle brand Georg Jensen, globally recognized for its craftmanship and designs for jewelry, watches, silver holloware and home products, from the private equity fund Investcorp. The deal valued at EUR 151.5 million (USD 165 million) closed on 1 October 2023. 
  • Weerawong C&P represented Universal Music Group in its investment of 70% shareholding in a joint venture with an estimated value of THB 1.6 billion, with RS Music
  • Weerawong C&P represented Universal Music Group, the world leader in music-based entertainment, in its investment of 70% shareholding in a joint venture with an estimated value of THB 1.6 billion, with RS Music, one of Thailand’s most successful music and entertainment companies, holding a 30% shareholding. Since completion, the joint venture has acquired and managed the music catalogues of more than 10,000 songs and their related content dating from 1981-2022, such as music videos, lyrics, compositions, pictures, photographs, and other rights under license agreements. The catalog represents more than 960 popular and well-known artists. The deal closed on 10 November 2023.

    The deal led by Siregran Sakuliampaiboon, Counsel included associates Warisa Monsawat and Tasha Tiensilakul.


     
  • Weerawong C&P represented Global Power Synergy Public Company Limited in the establishment of its joint venture with Copenhagen Infrastructure Partners
  • Weerawong C&P represented Global Power Synergy Public Company Limited, a Thailand-based power company, in the establishment of its joint venture with Copenhagen Infrastructure Partners, an investment firm specializing in infrastructure investments, particularly wind power. The deal valued at approximately THB 140 million is a starting point for the parties’ joint investment and development of wind projects beginning in November 2022.

  • Weerawong C&P represented Clover Recycle Limited in relation to the proposed acquisition of 60% shares in DKC Energy Joint Stock Company
  • Weerawong C&P represented Clover Recycle Limited, a subsidiary of Clover Power Public Company Limited, in relation to the proposed acquisition of 60% shares in DKC Energy Joint Stock Company, a Vietnamese company which operates a wood pellet manufacturing plant with the production capacity of 89,000 tons per annum, from Thien Mihn Duc Group Joint Stock Company. The deal was signed in April 2022 and is expected to be completed by the last quarter of 2022. The deal is valued at approximately VND 153 billion or THB 227 million.

  • Weerawong C&P advises on SE Asia’s largest IPO of 2022 to date 
  • Weerawong, Chinnavat & Partners Ltd. (“Weerawong C&P”) has advised Meiji Yasuda Life Insurance Company (“Meiji Yasuda”), a substantial minority shareholder in Thai Life Insurance Public Co. Ltd (“Thai Life”), in relation to Thai Life’s approximately USD 937 million (approximately THB 34.4 billion) IPO on the Stock Exchange of Thailand. The transaction marks South East Asia’s largest IPO in 2022 to date. Trading in the shares commenced on 25 July 2022. 

     
    Since Meiji Yasuda’s original investment in Thai Life in 2013, Meiji Yasuda has been a key strategic partner to Thai Life, holding a 15 per cent stake in Thai Life. Meiji Yasuda has drawn on its years of experience and expertise to help Thai Life to increase its operational efficiencies – a key part of its goal of becoming more data-driven – and accelerate its digital transformation.

(a company managed by Dymon Asia Private Equity) and the Thai founders in the divestment of their majority stake in Greenday Group Co., Ltd., a holding company of Greenday Global Co., Ltd. which engages in the manufacturing of healthy snacks in Thailand, to Calbee Inc., a worldwide corporation for the production and sale of potatoes and flour-based products. The transaction was part of the expansion of overseas business of Calbee.

  • Weerawong C&P represented PLAN B Media Public Company Limited in relation to the proposed acquisition of 100% shares in Aqua Ad Public Company Limited and Boardway Media Company Limited
  • Weerawong, Chinnavat & Partners Ltd. represented PLAN B Media Public Company Limited, Thailand’s leading out-of-home advertising media provider, in relation to the proposed acquisition of 100% shares in (i) Aqua Ad Public Company Limited (which holds the entire shares in M.I.S. Media Company Limited); and (ii) Boardway Media Company Limited (which holds the entire shares in S.Thana Media Company Limited), which engage in out-of-home media businesses, from Aqua Corporation Public Company Limited. Weerawong C&P also advised and assisted in the filling re the merger control matters in relation to the proposed acquisition. The deal was signed in February 2022, completed in April 2022 and was valued at approximately THB 2,882 billion (USD 83 million). 

     
    PLAN B Media Public Company Limited also issued 84,000,000 new ordinary shares allocated to Aqua Corporation Public Company Limited on a private placement basis. The deal was signed in April 2022,  completed in May 2022 and was valued at approximately THB 606 million (USD 17 million).

  • Clean Energy Tool Promotes Renewable Energy in Thailand
  • Weerawong, Chinnavat & Partners has joined forces with international law firm Simmons & Simmons for the Thailand content for the Clean Energy Tool, providing legal, regulatory, and market information for the development, construction, operation, financing and ownership of clean energy projects, including in renewable energy generation and energy storage.

  • Weerawong, Chinnavat & Partners Ltd. represented BAFS Clean Energy Corporation Company Limited (“BC”), a subsidiary of Bangkok Aviation Fuel Services Public Company Limited (BAFS) in the acquisition of ATC Enviro Co., Ltd. (“ATCE”), PDI Mae Ramat Co., Ltd. (“PDIMR”) and P.P. Solar (Nong-No) Co., Ltd. (“PPS”) from PDI Energy Company Limited, a subsidiary of Padaeng Industry Public Company Limited.

    This transaction was the first steppingstone for BC to diversify its portfolio into renewable energy business by acquiring 7 solar farms located in Tak, Khon Kaen and Samut Sakhon provinces with the combined capacity of 36.4 megawatts, operated by ATCE, PDIMR and PPS. The transaction valued at THB 1,704 million and was closed on 1 March 2021.
  • Weerawong C&P represented SCB Securities Co., Ltd. in relation to the proposed acquisition of 51% interest in Bitkub Online Co., Ltd. (Bitkub)
  • Weerawong C&P represented SCB Securities Co., Ltd., a subsidiary of The Siam Commercial Bank Public Company Limited, in relation to the proposed acquisition of 51% interest in Bitkub Online Co., Ltd. (Bitkub), a leading digital asset exchange in Thailand, from Bitkub Capital Group Holdings Co., Ltd. The transaction value is worth approximately THB 17.85 billion. The total market capitalization of Bitkub is THB 35 billion, marking another Thai "unicorn". The investment in Bitkub is based on the recognition of significant growth opportunities in the digital asset business and will enable SCBS, as a major shareholder, to further develop the digital asset ecosystem in Thailand. The deal was signed on 2 November 2021 and is expected to be completed by the first quarter of 2022.

  • Weerawong C&P represented The One Enterprise Public Company Limited, a leading content creator and a major digital television channel operator in Thailand, in connection with its THB 4.2 billion (USD 126 million) initial public offering (“IPO”) of the company and listing of its shares on the Stock Exchange of Thailand. The IPO is the highest valued in the Thai capital market media sector. Kiatnakin Phatra Securities Public Company Limited is the company’s financial advisor and lead arranger. Trading commenced on the SET on 5 November 2021.

  • Debt Counselling Project – Practical training for law students at Chulalongkorn University and Thammasat University
  • Debt Counselling Project – Practical training for law students at Chulalongkorn University and Thammasat University

    Weerawong C&P is honored to participate in a pro bono project run by Chulalongkorn University and Thammasat University assisting debtors who have been negatively affected by the Covid-19 pandemic. Our lawyers provide training for the faculty of law students offering debt counseling services for individuals and SMEs. 

    The initial online training sessions for law students held on 17-18 July 2021 focused on the substantive and procedural law aspects of debt counselling. Subsequent ongoing mentoring sessions have provided in-depth knowledge and practical advice in order to assist individuals and SMEs in resolving their debt problems.

  • Weerawong, Chinnavat & Partners Ltd. represented PTT Oil and Retail Business Public Company Limited (OR) on the initial public offering (IPO) of its shares to domestic institutional and retail investors as well as international institutional investors under Rule 144A/Regulation S of the US Securities Act and the listing of its shares on the Stock Exchange of Thailand. 
     
    The size of OR’s IPO is approximately THB 54 billion, equivalent to USD 1.8 billion (including the offering of the over-allotment shares). This is the 2nd largest IPO of a Thai company to date.  Its shares were heavily over-subscribed by approximately 480,000 retail investors, the largest number of retail investors subscribing for shares in an IPO in the history of the Thai capital markets.  Due to its popularity, OR shares were fast-tracked into the calculation of the SET 50 and SET 100 indices within 3 business days after the first day of trading.

  • Weerawong, Chinnavat & Partners Ltd. represented dtac TriNet Co., Ltd. (DTN) in the Term Loan Facility Agreement with Bangkok Bank Public Company Limited
  • Weerawong, Chinnavat & Partners Ltd. represented dtac TriNet Co., Ltd. (DTN), subsidiary of Total Access Communication Public Company Limited (DTAC), one of the leading mobile telecommunications services providers in Thailand, in the Term Loan Facility Agreement with Bangkok Bank Public Company Limited. The loan was for the capital expenditure investment in developing a mobile network for provision of mobile services under the 1800 MHz license and the 700 MHz license and also for the payment of fees for the 1800 MHz license. The total facilities amount of all loans was THB 15 billion (USD 500 million).
